REPRESENTATION AGREEMENT

Relating to the provision of football agent services to a Minor

Parties

This Agreement is made between:

(1) THE AGENT — Gabriel Garcia, an FA Registered Football Agent, for and on behalf of G11 Sports Management Ltd (company no. G11-0000001), of 11 Selhurst Road, London SE25 ("the Agent");

(2) THE PLAYER — Jamie Holt, a Minor, born 2 February 2059, of 14 Calderwood Close, London SE16 ("the Player"); and

(3) THE GUARDIAN — Alan Holt, father and legal guardian of the Player, of the same address, who enters into this Agreement on his own behalf and on behalf of the Player ("the Guardian"),

each a "Party" and together the "Parties".

Guardian Consent (Minor)

The Player is under the age of eighteen. The Guardian confirms that he has read this Agreement in full, understands its terms, and gives his prior written consent for the Agent to provide football agent services to the Player on the terms set out below. No part of this Agreement takes effect without the Guardian’s signature.

Background

(A) The Agent is licensed by The Football Association as an FA Registered Football Agent and holds the additional authorisation required to provide football agent services in respect of a Minor.

(B) The Player is a footballer eligible, by reference to his age, for the provision of such services in accordance with the Football Agent Regulations.

(C) The Player and the Guardian wish to engage the Agent, and the Agent wishes to act, on the terms of this Agreement.

(D) The Parties intend this Agreement to comply with the Football Agent Regulations and all applicable law concerning the representation and protection of Minors.

IT IS AGREED as follows:

1. Definitions

1.1 In this Agreement the following terms have the following meanings:

(a) "Club" means any football club or academy with which the Player may be registered or by which he may be employed;

(b) "Commencement Date" means 8 August 2075;

(c) "Football Agent Services" means the services described in clause 4 and Schedule 1;

(d) "Minor" means a person under the age of eighteen;

(e) "Professional Contract" means a player’s first or subsequent professional playing contract with a Club that comes into force;

(f) "Regulations" means the Football Agent Regulations of The Football Association in force from time to time;

(g) "Scholarship" means an academy scholarship or equivalent youth development place offered by a Club.

2. Appointment and Exclusivity

2.1 The Player and the Guardian appoint the Agent to provide the Football Agent Services, and the Agent accepts that appointment, on the terms of this Agreement.

2.2 The appointment is exclusive. During the Term the Player and the Guardian shall not appoint or instruct any other agent or intermediary in respect of the Player, save that this does not prevent the Guardian from seeking independent legal advice.

3. Term

3.1 This Agreement commences on the Commencement Date and, unless terminated earlier under clause 11, continues for a fixed term of two (2) years (the "Term"), being the maximum period permitted under the Regulations.

3.2 This Agreement does not renew automatically. Any renewal must be agreed in writing as a new agreement and signed by the Guardian.

4. Football Agent Services

4.1 The Agent shall provide the Football Agent Services set out in Schedule 1, which include advising the Player, identifying and assessing opportunities, and conducting negotiations on the Player’s behalf with Clubs.

4.2 The Agent shall act with reasonable skill and care and only within the scope of his licence and authorisation.

5. Agent’s Obligations

5.1 The Agent shall at all times act honestly, in good faith and in the best interests of the Player.

5.2 The Agent shall not approach, contact, negotiate with or provide information to any Club concerning the Player without first informing the Guardian and obtaining the Guardian’s agreement.

5.3 The Agent shall keep the Guardian promptly and fully informed of every approach, enquiry and offer received in respect of the Player, and shall not conceal, delay or misrepresent any of them.

5.4 The Agent shall not pressure the Player or the Guardian to accept any Club, offer or opportunity.

5.5 The Agent shall maintain his licence and authorisation to act in respect of a Minor throughout the Term, and shall lodge this Agreement with The Football Association within fourteen (14) days of execution.

6. Player’s and Guardian’s Obligations

6.1 The Player shall train and conduct himself professionally and shall promptly tell the Agent or the Guardian if anything causes him concern.

6.2 The Guardian shall deal with the Agent in good faith and shall not instruct another agent in respect of the Player during the Term, subject to clause 2.2.

7. Remuneration

7.1 No commission, service fee or other remuneration of any kind is payable to the Agent in respect of the Player while the Player is a Minor, unless and until the Player enters into a Professional Contract and that contract comes into force.

7.2 No fee, charge, retainer or expense is payable by the Player or the Guardian to the Agent for entering into, or during, this Agreement. There is no up-front or family fee.

7.3 Where a fee does become payable following a Professional Contract, the amount and the paying party shall be agreed in writing in advance and recorded in Schedule 2, in accordance with the Regulations.

7.4 The Agent shall not hold, directly or indirectly, any interest in the registration rights or economic rights of the Player, and no fee shall be linked to any future registration event.

8. Protection of the Minor

8.1 The Player’s welfare, education and development take priority over any football opportunity, and nothing in this Agreement requires the Player to act against his welfare or education.

8.2 The Agent confirms he holds current safeguarding certification and the authorisation of The Football Association to work with a Minor.

8.3 The Guardian has been advised of, and given the opportunity to obtain, independent legal advice before signing.

9. Conflicts of Interest

9.1 The Agent shall avoid conflicts of interest. The Agent shall not act for a Club in the same transaction without the prior written consent of the Guardian and full disclosure.

10. Confidentiality and Data

10.1 Each Party shall keep confidential the terms of this Agreement and information obtained under it, save where disclosure is required by the Regulations, a Club in negotiation, or by law.

10.2 The Agent shall process the Player’s personal data only as necessary to provide the services and in accordance with applicable data protection law.

11. Termination

11.1 Either Party may terminate this Agreement at any time for just cause, including where a Party can no longer reasonably be expected to continue the relationship.

11.2 The Guardian may terminate this Agreement immediately, by written notice, if the Agent:

(a) conceals, delays or misrepresents any approach, enquiry or offer;

(b) pressures the Player or the Guardian, or acts otherwise than in the Player’s best interests; or

(c) ceases to hold a valid licence or the authorisation required to act in respect of a Minor.

11.3 On termination, no sum is owed by the Player or the Guardian to the Agent, save for any fee already accrued under clause 7 in respect of a Professional Contract that has come into force.

12. Regulatory Compliance

12.1 This Agreement is entered into under, and shall be performed in accordance with, the Regulations. Where any term conflicts with the Regulations, the Regulations prevail and the term shall be read so as to comply.

12.2 The Agent warrants that he is a current FA Registered Football Agent authorised to provide services in respect of a Minor.

13. Governing Law and Disputes

13.1 This Agreement is governed by the law of England and Wales. Disputes shall be resolved in accordance with the Regulations and the rules of The Football Association, without prejudice to any right to seek redress before a court of competent jurisdiction.

14. Notices and General

14.1 Notices must be in writing and sent to the addresses of the Parties stated above.

14.2 This Agreement is the entire agreement between the Parties in respect of its subject matter and replaces any prior understanding.

14.3 If any term is found to be unenforceable, the remaining terms continue in force.

14.4 This Agreement may be signed in counterparts.

(1) Advising and representing the Player in relation to approaches from Clubs.

(2) Identifying, assessing and arranging trials, Scholarship opportunities and development placements.

(3) Conducting negotiations with Clubs on the Player’s behalf, and keeping the Guardian informed throughout.

(4) Reviewing the terms of any Scholarship or Professional Contract offered to the Player before signature.

(5) General career guidance consistent with the Player’s welfare and education.

Schedule 2 — Remuneration

No remuneration is payable as at the Commencement Date (clause 7). Any fee that becomes payable following a Professional Contract shall be recorded here and agreed in writing in advance:
